1. Agreement to Terms

By accessing or using Paywallet's loan management platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Services.

2. Description of Services

Paywallet provides a cloud-based loan management platform that enables financial institutions and lenders to manage loan origination, servicing, collections, and payments. Our Services include access to our software platform, APIs, documentation, and customer support.

3. Account Registration

To access certain features of our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit malicious code or interfere with the Services
  • Attempt to gain unauthorized access to any systems
  • Collect user data without proper authorization
  • Engage in fraudulent or deceptive practices

5. Intellectual Property

The Services and all contents, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the property of Paywallet or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

6. Payment Terms

For paid Services, you agree to pay all fees in accordance with your subscription plan:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change fees upon 30 days' notice
  • Late payments may result in service suspension

7. Data Protection

We process data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring that your use of our Services complies with all applicable privacy and data protection regulations.

8. Limitation of Liability

To the maximum extent permitted by law, Paywallet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or relating to your use of the Services.

9. Indemnification

You agree to indemnify and hold harmless Paywallet, its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

10. Termination

Either party may terminate this agreement at any time. Upon termination, your right to access the Services will immediately cease. All provisions that should survive termination will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.
